EMPLOYMENT AGREEMENT (this “Agreement”), dated as of October 9, 2016 (the “Effective Date”), between NEWSTAR FINANCIAL, INC., a Delaware corporation (the “Company”), and Timothy J. Conway (“Executive”). This Agreement fully supersedes the Employment Agreement that Executive executed on October 9, 2013.
