THIS REGISTRATION RIGHTS AGREEMENT (this “Agreement”) is made as of November 8, 2016, by and among Sorrento Therapeutics, Inc., a Delaware corporation (the “Company”), and the stockholders of Scilex Pharmaceuticals Inc., a Delaware corporation (“Scilex”) set forth on SCHEDULE A hereto (each a “Stockholder,” and collectively, the “Stockholders”) and such other Persons, if any, from time to time, that become a party hereto as holders of Registrable Securities (as defined below). Unless otherwise defined herein, capitalized terms used in this Agreement have the meanings ascribed to them in that certain Stock Purchase Agreement dated as of November 8, 2016 by and among the Company, Scilex, the Stockholders and SPI Shareholders Representative, LLC, a Delaware limited liability company, as the Stockholders’ Representative (as may be amended or restated from time to time, the “Purchase Agreement”).

THIS STOCK PURCHASE AGREEMENT is made and entered into as of November 8, 2016, by and among Sorrento Therapeutics, Inc., a Delaware corporation (the “Purchaser”), Scilex Pharmaceuticals Inc., a Delaware corporation (the “Company”), the stockholders of the Company set forth on the signature pages to this Agreement (collectively, the “Stockholders” and, individually, a “Stockholder”) and SPI Shareholders Representative, LLC, a Delaware limited liability company, as representative of the Stockholders pursuant to ARTICLE XI (the “Stockholders’ Representative”).
