The United States of America, by and through the Department of Justice, Criminal Division, Fraud Section, (the “Fraud Section”), and the Defendant, JERDS Luxembourg Holding (“JERDS” or the “Defendant”), by and through its undersigned attorneys, and through its authorized representative, pursuant to authority granted by the Defendant’s Board of Directors, hereby submit and enter into this plea agreement (the “Agreement”), pursuant to Rule 11(c)(1)(C) of the Federal Rules of Criminal Procedure. Defendant Zimmer Biomet Holdings, Inc. and its subsidiaries (“Zimmer Biomet” or the “Company”), pursuant to authority granted by the Company’s Board of Directors, and the United States Department of Justice, Criminal Division, Fraud Section (the “Fraud Section”), enter into this deferred prosecution agreement (the “Agreement”).
