This agreement (“Agreement”) is made as of July 1, 2016, by and among SSGA FUNDS MANAGEMENT, INC. (“SSGA FM”), a Delaware corporation, GE INSTITUTIONAL FUNDS, a Massachusetts business trust (“Trust”), on behalf of the SMALL-CAP EQUITY FUND (“Fund”), a series of the Trust, solely with respect to Section 11(b) of this Agreement, and KENNEDY CAPITAL MANAGEMENT, INC., a Missouri corporation (“Sub-Adviser”).

This Investment Advisory and Administration Agreement (the “Agreement”) is made as of this 1st day of July, 2016, between GE INSTITUTIONAL FUNDS (the “Trust”) on behalf of the various classes of its beneficial interests listed on Appendix A, as it may be amended from time to time by the parties (each, a “Fund” and collectively the “Funds”), and SSGA Funds Management, Inc., a Massachusetts corporation (“SSGA FM”).

This is to confirm that, in consideration of the agreements set out below, GE Institutional Funds, a business trust organized under the laws of the State of Delaware (the “Trust”), has agreed that State Street Global Markets, LLC (“SSGM”), a Delaware limited liability company, will be, for the period of this Agreement, the distributor of shares of beneficial interest of each series of the Trust (individually a “Fund” and collectively the “Funds”).
