This Amended and Restated Investment Management Agreement, dated October 1, 2016 (the “Agreement”), by and between ALLIANZ GLOBAL INVESTORS U.S. LLC, a Delaware limited liability company (the “Manager”) and ALLIANZGI INSTITUTIONAL MULTI-SERIES TRUST, a Massachusetts business trust (the “Trust”), on behalf of each series of the Trust identified from time to time on Schedule A to this Agreement, amends and restates the Investment Management Agreement, dated as of June 30, 2014 (the “Prior Agreement”), between Allianz Global Investors Fund Management LLC (“AGIFM”) and the Trust.
