This AGREEMENT is made as of October 1, 2015, and restated as of January 30, 2017, by and between Capitol Series Trust (the “Trust”), an Ohio business trust, with its principal office and place of business at 2960 North Meridian Street, Suite 300, Indianapolis, Indiana, 46208, and Fuller & Thaler Asset Management, Inc., a California corporation, with its principal office and place of business at 411 Borel Avenue, Suite 300, San Mateo, CA 94402 (the “Adviser”).

THIS AGREEMENT is made and entered into effective as of February 1, 2017 by and between Capitol Series Trust (the “Trust”), on behalf of its series portfolios as set forth on Appendix A, (each a “Fund”), and Fuller & Thaler Asset Management, Inc. (the “Adviser”), a California corporation.
