INVESTMENT SUB-ADVISORY AGREEMENT (the “Agreement”), effective as of the 18th day of January, 2017, between Brinker Capital, Inc. (the “Adviser”), a corporation organized and existing under the laws of the State of Delaware, and SailingStone Capital Partners LLC (the “Sub-Adviser”), a limited liability company organized and existing under the laws of the State of Delaware.

THIS AGREEMENT, dated as of January 18, 2017, between Brinker Capital Destinations Trust a management investment company organized under the laws of the State of Delaware and registered with the Commission under the Investment Company Act of 1940 (“the 1940 Act”) ( (the “Trust” on behalf of each series listed on Appendix A to this Agreement each a “Fund” and collectively, the “Funds”), and BROWN BROTHERS HARRIMAN & CO., a limited partnership formed under the laws of the State of New York (BBH&Co. or the Custodian). References to the Fund herein shall be read to include Trust on behalf of a Fund or each Fund individually or collectively as the context requires.
