This MARGIN LOAN AGREEMENT dated as of March 7, 2017 (as it may be amended or modified from time to time, this “Agreement”), among HNA HLT Holdco IV LLC, a limited liability company under the laws of Delaware, as Borrower (“Borrower”), HNA HLT Holdco I LLC, a limited liability company under the laws of Delaware as pledgor (“Pledgor”), HNA HLT Holdco II LLC, a limited liability company under the laws of Delaware as intermediate subsidiary (“Intermediate Subsidiary”), each Lender as set forth in Schedule I and each other lender from time to time party hereto (collectively, the “Lenders” and individually, a “Lender”), and JPMorgan Chase Bank, N.A., London Branch, as Administrative Agent.
