American Homes 4 Rent, a Maryland real estate investment trust (the “Company”), proposes, subject to the terms and conditions stated herein, to issue and sell to you (the “Underwriter”), an aggregate of 11,000,000 Class A common shares of beneficial interest of the Company, par value $0.01 per share (the “Class A Shares”) (the “Firm Shares”), and, at the election of the Underwriter, up to 1,650,000 additional Class A Shares (the “Optional Shares”). The Firm Shares and the Optional Shares that the Underwriter elects to purchase pursuant to Section 2 hereof are herein collectively called the “Shares”.

THIS SHARE PURCHASE AGREEMENT (this “Agreement”) is made and entered into as of March 22, 2017, by and between American Homes 4 Rent, a Maryland real estate investment trust (the “Company”), and B. Wayne Hughes, as Trustee of the B.W. Hughes Living Trust (“Purchaser”).
