THIS PARTICIPATION AGREEMENT (“Agreement”), made as of this 1st day of May, 2007 by and among New York Life Insurance and Annuity Corporation (the “Company”), a life insurance company organized under the laws of the State of Delaware, on its behalf and on behalf of each segregated asset account set forth on Schedule A attached hereto as it may be amended from time to time by mutual written agreement of the Parties hereto (the “Separate Accounts”) and Legg Mason Investor Services LLC, a limited liability company organized under the laws of Maryland (“Distributor”), as Distributor of each series of the investment company (the “Trust”), set forth on Schedule B attached hereto as may be amended from time to time by mutual written agreement of the Parties hereto (each a “Fund” and collectively, the “Funds, (the “Party”).

New York Life Insurance and Annuity Corporation, (the “Company”) and Legg Mason Investor Services, LLC, (“LMIS”) (the “Distributor”) mutually agree to the arrangements set forth in this Administrative Services Agreement (the “Agreement”) dated May 1, 2007.
