THIS AGREEMENT, shall be effective as of May 16, 2017, between StoneMor GP LLC, a Delaware limited liability company (the “Company”), and the undersigned (“Indemnitee”).

THIS EMPLOYMENT AGREEMENT (the “Agreement”) is entered into on May 16, 2017 and shall become effective on May 17, 2017 (the “Effective Date”), by and between StoneMor GP LLC, a Delaware limited liability company (the “Company”) and the General Partner of StoneMor Partners, L.P. (the “Partnership”), and R. Paul Grady (the “Executive”). The Company and Executive are each sometimes referred to herein as “Party,” and both of them, together, are sometimes referred to herein as the “Parties.”
