CalAtlantic Group, Inc., a Delaware corporation (the “Company”), proposes to issue and sell to the several Underwriters listed in Schedule I (the “Underwriters”), for whom you are acting as representative (the “Representative”), $350,000,000 principal amount of its 5.000% Senior Notes due 2027 (the “Securities”). The Securities will be issued under an Indenture dated as of April 1, 1999 (the “Base Indenture”), between the Company, as issuer, and The Bank of New York Mellon Trust Company N.A.
