This is to confirm that, in consideration of the agreements hereinafter contained, the undersigned, The Gabelli Value 25 Fund Inc., a Maryland corporation (the “Fund”), has agreed that G.distributors, LLC (the “Distributor”) shall be, for the period of this Agreement, the distributor of shares of common stock, par value $.001 per share, issued by the Fund (the “Shares”).
