The Securities will be issued pursuant to an Indenture, dated as of January 26, 2012 (the “Base Indenture”), between the Company and U.S. Bank National Association, as trustee (the “Trustee”), as amended and supplemented by the Fourth Supplemental Indenture thereto, to be dated the Closing Date (as defined herein), by and among the Company, the Guarantors and the Trustee and the Fifth Supplemental Indenture thereto, to be dated the Closing Date, by and among the Company, the Guarantors and the Trustee (collectively, the “Supplemental Indentures”). The Base Indenture as amended and supplemented by the Supplemental Indentures is referred to herein as the “Indenture.”
