THIRD SUPPLEMENTAL INDENTURE dated as of July 28, 2017 (this “Third Supplemental Indenture”), made and entered into by and between Worthington Industries, Inc., a corporation organized and existing under the laws of the State of Ohio having its principal office at 200 Old Wilson Bridge Road, Columbus, Ohio 43085 (the “Company”), and U.S. Bank National Association, a national banking association duly organized and existing under the laws of the United States, as Trustee (the “Trustee”) under the indenture of the Company dated as of April 13, 2010 (the “Indenture ”).
