THIS TERMINATION AGREEMENT (this “Termination Agreement”) is made and entered into effective as of the Termination Effective Date by and between IMMUNOMEDICS, INC., a Delaware corporation (“IMMU”), and SEATTLE GENETICS, INC., a Delaware corporation (“SGEN”).
