This Tax Separation Agreement (the “Agreement”) is entered into as of the 27th day of July 2017, between MetLife, Inc. (“MetLife”), a Delaware corporation, by and on behalf of itself and each Affiliate of MetLife, and Brighthouse Financial, Inc.
