This AMENDED AND RESTATED AGREEMENT AND PLAN OF REORGANIZATION (this “Agreement”) is dated as of August 15, 2017, by and between BancorpSouth, Inc. (the “Company”), a Mississippi corporation, and BancorpSouth Bank (the “Bank”), a Mississippi-chartered bank and wholly-owned subsidiary of the Company.
