THIS SUPPLEMENTAL INDENTURE NO. 1 (this “Supplemental Indenture”) is made effective as of the 16th day of August 2017, by and between Heritage Insurance Holdings, Inc., a Delaware corporation (the “Company”), and The Bank of New York Mellon, a New York banking corporation, as trustee (together with its successors and assigns, in such capacity, the “Trustee”).
