THIS STOCK PURCHASE AGREEMENT (this “Agreement”), dated as of August 24, 2017, is made by and among Beacon Roofing Supply, Inc., a Delaware corporation (“Buyer”), Oldcastle, Inc., a Delaware corporation (“Parent”), and Oldcastle Distribution, Inc., a Delaware corporation (“Seller”).
