THIS SHARE REPURCHASE AGREEMENT (this “Agreement”) is made and entered into as of September 27, 2017, by and between Hilton Worldwide Holdings Inc., a Delaware corporation (the “Company”), and each of the entities identified on Schedule 1 hereto that sells Secondary Shares (as defined below) in the Secondary Offering (as defined below) (each such entity, a “Seller,” and collectively, the “Sellers”).
