This AGREEMENT AND PLAN OF REORGANIZATION (this “Agreement”) is effective as of October 12, 2017, by and among First Financial Bankshares, Inc., a Texas corporation and registered bank holding company under the Bank Holding Company Act of 1956, as amended (the “BHCA”), with its principal offices in Abilene, Texas (“FFIN”), Kingwood Merger Sub, Inc., a Texas corporation and wholly-owned subsidiary of FFIN (“Merger Sub”), and Commercial Bancshares, Inc., a Texas corporation and registered bank holding company under the BHCA (“CBI”).
