AMENDMENT NO. 1 (this “Amendment”), dated as of December 15, 2017, is entered into among CVS Health Corporation, a Delaware corporation (the “Borrower”), The Bank of New York Mellon, as Administrative Agent and the Lenders party hereto (the “Consenting Lenders”).
