THIS ASSET PURCHASE AGREEMENT (this “Agreement”) is made and entered into as of December 19, 2017, by and among LIGNETICS OF NEW ENGLAND, INC., a Delaware corporation (“Buyer”), LIGNETICS, INC., a Delaware corporation (“Buyer Guarantor”), NEW ENGLAND WOOD PELLET, LLC, a Delaware limited liability company (“NEWP”), SCHUYLER WOOD PELLET, LLC, a Delaware limited liability company and wholly owned Subsidiary of NEWP (“SWP”), DEPOSIT WOOD PELLET, LLC, a Delaware limited liability company and wholly owned Subsidiary of NEWP (“DWP” and collectively with NEWP and SWP, “Sellers” and with each of Sellers also individually being referred to herein as a “Seller”), NEWP, as Sellers’ Representative (“Sellers’ Representative”) and RENTECH, INC., a Colorado corporation (“Parent”).
