THIS AGREEMENT, made and entered into as of this 8th day of December, 2009 by and among THE VARIABLE ANNUITY LIFE INSURANCE COMPANY (hereinafter the “Company”), organized under the laws of the State of Texas, on its own behalf and on behalf of VALIC Separate Account A and VALIC Separate Account C, each a segregated asset account of the Company (each referred to as an “Account”), and VALIC COMPANY I, a Maryland corporation (hereinafter the “Fund”), and AMERICAN GENERAL DISTRIBUTORS, INC. (hereinafter the “Underwriter”), a Delaware corporation.
