Notwithstanding the foregoing, this Lock-Up Agreement shall not apply to (a) the registration of the offer and sale of Shares as contemplated by the Underwriting Agreement and the sale of the Shares to the Underwriters (as defined in the Underwriting Agreement) in the Offering, (b) bona fide gifts, (c) dispositions to any trust, partnership, limited liability company or other entity for the direct or indirect benefit of the undersigned and/or the immediate family of the undersigned, (d) dispositions by will or intestacy, (e) dispositions to any immediate family member or other dependent, (f) a nominee or custodian of a person or entity to whom a disposition or transfer would be permissible under clauses (b) through (e) above, (g) dispositions pursuant to an order of a court or regulatory agency, (h) dispositions from an executive officer to the Company or its parent entities upon death, disability or termination of employment, in each case, of such executive officer, (i) transfers to t
