Sprint Corporation, a Delaware corporation (the “Company”), proposes to issue and sell to the underwriters named in Schedule I hereto (the “Underwriters”), for whom you (the “Representative”) are acting as representative, the principal amount and type of notes identified on Schedule II hereto (the “Notes”). The Notes will be guaranteed on a senior unsecured basis (the “Guarantee” and, together with the Notes, the “Securities”) by Sprint Communications, Inc., a Kansas corporation (the “Guarantor”). The Securities will be issued pursuant to the indenture identified on Schedule II hereto (the “Base Indenture”), between the Company and the trustee identified on Schedule II hereto (the “Trustee”), as supplemented by the supplemental indenture identified on Schedule II hereto (the “Supplemental Indenture” and, together with the Base Indenture, the “Indenture”) to be executed among the Company, the Guarantor and the Trustee.
