Sunlands Online Education Group, an exempted company incorporated with limited liability under the laws of the Cayman Islands (the “Company”), proposes, subject to the terms and conditions stated in this agreement (this “Agreement”), to issue and sell to the Underwriters named in Schedule I hereto (the “Underwriters”) an aggregate of 520,000 class A ordinary shares, par value US$0.00005 per share, of the Company (“Class A Ordinary Shares”) in the form of 13,000,000 American Depositary Shares and, at the election of the Underwriters, up to 78,000 additional Class A Ordinary Shares in the form of 1,950,000 American Depositary Shares.
