THIS CREDIT AGREEMENT is made as of March 15, 2018, by and among CITY OFFICE REIT OPERATING PARTNERSHIP, L.P., a Maryland limited partnership (“Borrower”), CITY OFFICE REIT, INC. and certain of its Subsidiaries party hereto from time to time, as Guarantors, KEYBANK NATIONAL ASSOCIATION (“KeyBank”), the other lending institutions which are parties to this Agreement as “Lenders”, and the other lending institutions that may become parties hereto pursuant to §18, KEYBANK NATIONAL ASSOCIATION, as administrative agent for the Lenders (the “Agent”) and Swing Loan Lender, and KEYBANC CAPITAL MARKETS, as Sole Lead Arranger and Sole Book Manager.
