THIS AMENDED AND RESTATED LOAN AND SECURITY AGREEMENT, dated as of April 20, 2018 (this “Agreement”), is made and entered into by and among SMOM LIMITED, a Jersey limited liability Company with registered No. 123188 and incorporated under the Companies (Jersey) Law 1991, as amended (“Lender”), ODYSSEY MARINE EXPLORATION, INC., a Nevada corporation (“Borrower”), and, solely for purposes of Article 9, ALDAMA MINING COMPANY, S. DE R.L. DE C.V., a Mexican company (“Guarantor”).
