This SHARE PURCHASE AND EXCHANGE AGREEMENT, dated as of April 27, 2018 (this “Agreement”), is entered into by and between Cheniere Energy, Inc., a Delaware corporation (the “Company”), and each of the parties set forth on Schedule I attached to this Agreement (each such party may be referred to herein individually or collectively (as the case may be) as an “Investor”).
