Contract Type FiledMay 2nd, 2018 Company Industry JurisdictionAmerican Airlines, Inc., a Delaware corporation (the “Company”), proposes that Wilmington Trust Company, a Delaware trust company (“WTC”), acting not in its individual capacity but solely as pass through trustee (the “Trustee”) under the Pass Through Trust Agreement, dated September 16, 2014 (the “Basic Agreement”), as supplemented for the Company’s Pass Through Certificates, Series 2012-2C(R) (the “Class C(R) Certificates”) to be purchased hereunder by a Trust Supplement No. 2012-2C(R) (the “Class C(R) Trust Supplement”) between the Company and the Trustee (the Basic Agreement, as supplemented by the Class C(R) Trust Supplement being referred to herein collectively as the “Class C(R) Trust Agreement”), issue and sell to the underwriters named in Schedule I hereto (collectively, the “Underwriters”) the Class C(R) Certificates, in the aggregate face amount and with the interest rate and final expected distribution date set forth on Schedule B hereto on the terms and conditions stated he
