This Agreement and Plan of Reorganization (the “Agreement”) is made as of June 21, 2018 by Thrivent Series Fund, Inc. (the “Fund”), a Minnesota corporation, on behalf of its series, Thrivent Moderately Aggressive Allocation Portfolio (the “Acquiring Portfolio”) and Thrivent Growth and Income Plus Portfolio (the “Target Portfolio”). Thrivent Financial for Lutherans is also party to the Agreement solely for purposes of Section 3.F.

Thrivent Financial for Lutherans (“TFL”) and Thrivent Series Fund, Inc. (“TSF”) hereby agree that, with respect to the Investment Advisory Agreement between TFL and TSF dated April 10, 2002, as amended (the “Agreement”), effective June 28, 2018, the Agreement is hereby amended to reflect that Thrivent Growth and Income Plus Portfolio merged into Thrivent Moderately Aggressive Allocation Portfolio. A revised Schedule I is attached hereto.

Thrivent Financial for Lutherans (“TFL”) and Thrivent Series Fund, Inc. (“TSF”) hereby agree that, with respect to the Administrative Services Agreement dated January 1, 2009, as amended, between TFL and TSF (the “Agreement”), effective June 28, 2018, the Agreement is amended to reflect that Thrivent Growth and Income Plus Portfolio merged into Thrivent Moderately Aggressive Allocation Portfolio.
