This Amended And Restated Amendment to the Administration Agreement is made as of (the “Amendment”) by and between State Street Bank and Trust Company, a Massachusetts trust company (the “Administrator”), and each management investment company and other fund identified in Schedule A to the Agreement (as defined below) (each such management investment company and other fund shall hereafter be referred to as a “Fund” or, collectively, the “Funds”) and shall be effective as set forth in Section 2 below. Capitalized terms used in this Amendment without definition shall have the respective meanings ascribed to such terms in the Agreement (as defined below).

THIS AGREEMENT made as of the day of , by and between EACH OF THE BLACKSTONE ENTITIES, INDIVIDUALLY AND NOT JOINTLY, as listed on Schedule A, having their principal office and place of business at 345 Park Avenue, New York, New York 10154 (collectively, the “Funds” and individually, the “Fund”) and DST ASSET MANAGER SOLUTIONS, INC., a Massachusetts corporation having its principal office and place of business at 2000 Crown Colony Drive, Quincy, Massachusetts 02169-0953 (“DST AMS”).
