This U.S. LICENSE AGREEMENT (this “Agreement”) is entered into and made effective as of , 20 (the “Effective Date”) by and between Prothena Biosciences Limited, an Irish limited company (“Prothena”) and Celgene Switzerland LLC, a Delaware limited liability company (“Celgene”)3.
