International Flavors & Fragrances Inc., a New York corporation (the “Company”), proposes to issue and sell to the several underwriters named in Schedule I hereto (the “Underwriters”), for whom you are acting as managers (the “Managers”), 15,000,000 6.00% Tangible Equity Units (the “Firm Units”). The Company also proposes to issue and sell to the several Underwriters not more than an additional 1,500,000 6.00% Tangible Equity Units (the “Additional Units”) if and to the extent that the Managers shall have determined to exercise, on behalf of the Underwriters, the right to purchase such Additional Units granted to the Underwriters in Section 2 hereof.
