This Purchase and Sale Agreement (this “Agreement”) is entered into by and between CIBC Trust Company (Bahamas) Limited, in its capacity as trustee (the “Selling Trustee”) of Settlement 1740 Trust #36 (the “Trust”), and Hyatt Hotels Corporation, a Delaware corporation (the “Purchaser” or the “Company”), as of November 7, 2018. Each of the Selling Trustee and the Purchaser is sometimes referred to herein as a “Party” and collectively as the “Parties” to this Agreement.
