Southwest Gas Holdings, Inc., a California corporation (the “Company”), proposes to issue and sell to the several underwriters (the “Underwriters”) named in Schedule 1 attached to this agreement (this “Agreement”), acting severally and not jointly, an aggregate amount of 3,100,000 shares of common stock, par value $1.00 per share (“Common Stock”), of the Company (the “Underwritten Shares”) set forth in Schedule 1 hereto and, at the option of the Underwriters, acting severally and not jointly, up to an additional 465,000 shares of Common Stock of the Company (the “Option Shares”). The Underwritten Shares and the Option Shares are collectively referred to herein as the “Shares.”
