This Amended and Restated Joint Action Agreement (this “Agreement”), dated as of November 29, 2018, is entered into by and among Avianca Holdings S.A., a corporation organized under the Laws of the Republic of Panama (the “Company”), Kingsland Holdings Limited, a company organized under the Laws of the Commonwealth of the Bahamas (“Kingsland”), BRW Aviation LLC, a Delaware limited liability company (“NewCo”), United Airlines, Inc., a corporation organized under the Laws of the State of Delaware (together with its Affiliates, “United”), such other Persons (as defined in Section 1.01) as may, from time to time, become parties to this Agreement in accordance with the provisions hereof and solely for purposes of Section 4.04, Synergy Aerospace Corp., a corporation organized under the Laws of the Republic of Panama (“Synergy”).
