This AMENDED AND RESTATED SUBADVISORY AGREEMENT (as amended and in effect from time to time, the “Agreement”) is made as of the 1st day of July, 2018, by and between ClearBridge Investments, LLC, a Delaware limited liability company (the “Manager”), and Western Asset Management Company, LLC, a California limited liability company (the “Subadviser”).
