THIS AMENDED AND RESTATED INDEMNIFICATION AGREEMENT (this “Agreement”) is entered into as of November 13, 2018 by and between New York REIT Liquidating LLC, a Delaware limited liability company (the “Company”), and P. Sue Perrotty (“Indemnitee”), effective at the Effective Time (as defined in the Limited Liability Company Agreement of the Company dated as of November 7, 2018 (the “LLC Agreement”)). Other capitalized terms used in this Agreement that are not otherwise defined in this Agreement have the meanings ascribed to such terms in the LLC Agreement.
