This Subscription Agreement (this “Subscription Agreement”) is being entered into as of the date set forth on the signature page hereto, by and between Leo Holdings Corp., a Cayman Islands exempted company (the “Company”), and the undersigned subscriber (the “Subscriber”), in connection with the proposed business combination (the “Transaction”) between the Company and Queso Holdings Inc., a Delaware corporation (“Queso”), pursuant to a Business Combination Agreement among the Company, Queso and the other parties thereto (as may be amended and/or restated (the “Transaction Agreement”).
