THIS LICENSE AGREEMENT (this “Agreement”) is entered into as of June 1, 2012 (the “Effective Date”), by and between Lumena Pharmaceuticals, Inc. (“Lumena”), a corporation organized and existing under the laws of the State of Delaware, and Pfizer Inc. (“Pfizer”), a corporation organized and existing under the laws of the State of Delaware.
