This Confidentiality and Inventions Agreement (this “Agreement”), by and between Array BioPharma Inc., a Delaware corporation (the “Company”), and Nicholas Saccamano, an individual (“Employee”), is executed to be effective as of the “Effective Date” set forth in Section 3(j) below.

This NONCOMPETE AGREEMENT (this “Agreement”), dated as of May 14, 2014 is between Array BioPharma Inc., a Delaware corporation (the “Company”), which for the purposes hereof shall include any subsidiary or affiliate of the Company, and Nicholas Saccamano (the “Employee”).
