Each of EPRT Holdings, LLC, a Delaware limited liability company (“EPRT Holdings”) and Security Benefit Life Insurance Company, a Kansas stock insurance company (“SBLIC”, and together with EPRT Holdings, the “Selling Stockholders”), propose, subject to the terms and conditions stated herein, to sell to the Underwriters named in Schedule I hereto (the “Underwriters”), an aggregate of 22,859,406 shares (the “Firm Shares”), and, subject to the terms and conditions stated herein, to sell to the Underwriters, at the election of the Underwriters, up to 3,428,910 additional shares (the “Optional Shares”) of common stock, $0.01 par value per share (“Stock”), of Essential Properties Realty Trust, Inc., a Maryland corporation (the “Company”), to cover overallotments, if any.
