THIS AGREEMENT is made and entered into effective the day of 29 March, 2019, by and among MORNINGSTAR FUNDS TRUST (the “Trust”), a Delaware statutory trust, MORNINGSTAR INVESTMENT MANAGEMENT LLC (the “Adviser”) a Delaware limited liability company registered under the Investment Advisers Act of 1940, as amended (the “Advisers Act”), and LEVIN EASTERLY PARTNERS LLC, a Delaware limited liability company (the “Subadviser”), and also registered under the Advisers Act.

This Amended and Restated Expense Limitation Agreement (the “Agreement”) is made as of the 31st day of May, 2019 by and between Morningstar Funds Trust, a Delaware statutory trust (the “Trust”), on behalf of each of its series listed on Schedule A, as such may be amended from time to time (each, a “Fund” and, collectively, the “Funds”), and Morningstar Investment Management LLC, a Delaware corporation (“Morningstar”), and supercedes and replaces the prior Amended and Restated Expense Limitation Agreement .
