This Agreement dated as of the 1st day of January, 2019 is made by and among Nationwide Financial Services, Inc. on behalf of its subsidiaries listed on Exhibit A (collectively, “Nationwide”) and the Nationwide separate accounts (“Variable Accounts”) listed on Exhibit A, Schwab Annuity Portfolios, a business trust (the “Trust”) and Charles Schwab & Co., Inc. (“CS&Co.”), which serves as distributor to the mutual funds (each such fund, a “Fund” and collectively, the “Funds”) listed on Exhibit B. The Trust and CS&Co. shall be collectively referred to herein as the “Company.”

Policies issued on COLI, BOLI products (Guaranteed Issue, Modified Guaranteed Issue, Simplified Issue or Regular Medical Issue) with effective dates within the applicable period shown below may qualify for automatic reinsurance under the terms of this Agreement.
