THIS DRUG DISCOVERY RESEARCH, DEVELOPMENT AND COMMERCIALIZATION AGREEMENT (the “Agreement”) is made as of the 11th day of May 2015 (the “Effective Date”) by and between BioNTech Cell & Gene Therapies GmbH, having its principle place of business at An der Goldgrube 12, 55131 Mainz, Germany (“BCGT”), BioNTech AG having its principle place of business at An der Goldgrube 12, 55131 Mainz, Germany (“BioNTech”) and Eli Lilly and Company having its principal place of business at Lilly Corporate Center, Indianapolis, Indiana 46285, USA (“Lilly”). BCGT, BioNTech and Lilly are sometimes individually referred to herein as a “Party” and collectively, as the “Parties”.
