This CREDIT AGREEMENT (“Agreement”) is entered into as of September 25, 2019, among McKESSON CORPORATION, a Delaware corporation (the “Company”), any Designated Borrower (as defined below) or any Subsidiary of the Company that has executed and delivered to the Administrative Agent a joinder agreement in the form of Exhibit F hereto pursuant to Section 7.02(d), as applicable (together with the Company and any Designated Borrower, the “Borrowers” and each a “Borrower”), each lender from time to time party hereto (collectively, the “Lenders” and each individually, a “Lender”), each L/C Issuer from time to time party hereto and BANK OF AMERICA, N.A., as Administrative Agent.
