the validity or enforceability against the Issuer of the Underwriting Agreement and the Indenture or any such document or instrument to be executed and delivered by it, or (c) the issue, sale, delivery or listing on the Luxembourg Stock Exchange of the Securities or for the consummation of the other transactions contemplated by the Underwriting Agreement and the Indenture, other than those referred to in Section 7(i) of the Underwriting Agreement.
